The Board of Directors of the Company appointed Ms Angel Pan, Director of Management, as Head of Corporate Governance on 3rd,May 2023 to be responsible for corporate governance related matters, including :
(a) The related of conducting Board meetings, committees meetings and shareholders meetings.
(b) Producing the meeting minutes of board meetings and shareholder meetings.
(c) Assist for the appointment and continuing education of directors.
(d) Providing information for directors to carry out their duties.
(e) Assist directors in complying with the ACT

- The Company has two information security officiers, one being the Information Security Officer, who coordinates and managemes the Company's information security affairs. This includes planning and managing information security mechanisms for anti-virus, anti=disaster, anti-hacking, anti-leakage, etc., as well as handling and reporting information security incidents.
- For Information Communication Security Management, the Company has established "Digital Information Processing Control Operating Procedures" and " Information Communication Security Management" to regulate the Company's information security.
- Information security protection measures include access control to server rooms, uninterruptible power supplies in server rooms, regular data backups off-site data backups and network security management. To effectively protect network security and mitigate threats from viruses, network shutdowns, and other network attacks, regular anti-virus scans and information security campaigns are conducted to ensure the stability and security of the information system. The Company regylarly allocates and appropriate budget each year to strengthen information technology and security protection, and has taken out information security protection insurance from 2021. The Company will continue to make efforts to upgrade its existing computer software, hardware equipment and technical support to ensure the smooth operation of its information systems and equipment.
- Information Communication Security Management Resources although the Company conducts regular information security testing to identify potential information security issues and conducts information security awareness programmes from time to time, it is still not possible to guarantee that the Company will not be affected by virus attacks in the ever-changing cyber threats, and malicious attacks such as computer viruses and hacking may result in the theft or misappropriateion of the Company's importanct information. Hackers also try to introduce the latest unbreakable viruses and destructive software into the company's network in order to influence the company's operations, gain control, extort and spy on the company's internal secrets.
1. Our company has established a Code of Ethics and a Code of Integrity as part of our employee regulations. The administration department is responsible for managing and overseeing these codes, as well as all compliance-related matters. The department provides the Board of Directors with an annual report on the execution status of these codes, thereby reinforcing our commitment to ethical business practices. On March 5, 2024, the company presented a report on the implementation of the integrity management system to the Board of Directors.
2. Upon onboarding new employees, the company provides both the Code of Ethics and the Code of Integrity as part of our anti-corruption awareness efforts. Furthermore, we conduct a series of corporate compliance training sessions on an annual basis, addressing topics such as anti-corruption policies and labor rights, with the objective of preventing corruption and human rights violations. In the 2024, the training program was expanded to include informal employees.
3. In order to implement the prevention of insider trading, the Company has informed its directors at each quarterly board meeting (30 days prior to the annual financial report and 15 days prior to the quarterly financial report) that the Company's internal operating procedures for handling material information prohibit directors from trading in their shares during the closed periods 30 days prior to the annual financial report and 15 days prior to the quarterly financial report.
4. By1 December 2024, the signing rate of the Anti-Corruption and Anti-Bribery Pledge by all Group colleagues had reached 100%.
